1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the GovernSimply website, platform, and related services (collectively, the "Service"), operated by GovernSimply ("GovernSimply," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

2. Description of the Service

GovernSimply is a software platform that allows users to upload community governing documents (such as CC&Rs, Bylaws, Rules & Regulations, and Amendments), search those documents using natural-language queries, and receive plain-English explanations tied to specific document sections. GovernSimply provides informational tools only. We do not provide legal advice, legal opinions, or legal services.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you are legally capable of entering into a binding agreement, any information you provide is accurate and complete, and you are authorized to upload documents and grant access to them.

4. Accounts and Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials, all activity that occurs under your account, and ensuring account information remains accurate. You agree to notify us promptly of any unauthorized use of your account.

5. Fees, Trials, and Payments (if applicable)

Some features of the Service may be offered for a fee, including on a subscription basis. If you purchase a paid plan, you agree to pay all applicable fees, taxes, and charges, and you authorize us (or our third-party payment processor) to charge your selected payment method.

If we offer a free trial, the trial may convert to a paid subscription unless you cancel before the trial ends. Subscription terms (including pricing, billing interval, and renewal) will be presented at checkout or within the Service. Except where required by law or explicitly stated at purchase, fees are non-refundable.

6. User Responsibilities

You agree to use the Service responsibly and in compliance with all applicable laws and governing documents. You are solely responsible for the documents you upload, the accuracy and completeness of those documents, how search results and explanations are interpreted or used, and any decisions made based on information obtained through the Service. GovernSimply is not responsible for decisions, actions, or outcomes resulting from use of the Service.

7. Role-Based Access and Permissions

The Service supports role-based access controls that allow certain users to invite, approve, or manage other users within a community. You acknowledge and agree that users with administrative or governance roles control access within their community, you are responsible for managing permissions you grant, and GovernSimply is not responsible for internal disputes, access decisions, or governance outcomes within a community or organization.

8. Uploaded Content and Ownership

You retain ownership of all documents and content you upload to the Service ("User Content"). By uploading User Content, you grant GovernSimply a limited, non-exclusive, worldwide, royalty-free license to host, store, process, analyze, reproduce, and display that User Content solely for the purpose of operating, improving, and providing the Service (including generating search results and explanations).

You represent that you have the right to upload the content, uploading the content does not violate any laws or agreements, and the content does not infringe the rights of third parties. We do not review uploaded content for accuracy, legality, or completeness, and we are not responsible for User Content.

9. AI-Assisted Explanations and Disclaimer

The Service may generate automated, plain-English explanations based on the documents provided. You acknowledge and agree that explanations are informational summaries, not authoritative interpretations; explanations may omit context, exceptions, or nuances; and outputs are generated based solely on uploaded documents and available data. You should not rely on the Service as a substitute for professional legal advice. For legal interpretation or guidance, consult a qualified attorney.

10. Prohibited Uses

You agree not to access the Service without authorization; attempt to reverse engineer, scrape, or misuse the platform; upload unlawful, malicious, infringing, or harmful content; misrepresent Service outputs as legal advice; interfere with the security or operation of the Service; or use the Service in a way that violates applicable laws or regulations. We reserve the right to investigate and take appropriate action for violations.

11. Intellectual Property

The Service (including its software, user interface, design, trademarks, logos, and underlying technology) is owned by GovernSimply or its licensors and is protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal use. No rights are granted except as expressly stated in these Terms.

12. Feedback

If you submit suggestions, feedback, or ideas about the Service ("Feedback"), you grant GovernSimply the right to use that Feedback without restriction or compensation to you.

13. Third-Party Services

The Service may integrate with or rely on third-party services (for example: hosting providers, analytics, email delivery, and payment processors). Your use of third-party services may be subject to their separate terms and policies. GovernSimply is not responsible for third-party services.

14. Service Availability and Changes

The Service is provided on an "as-available" basis. We may modify, update, or discontinue features; suspend access for maintenance or technical reasons; and improve or change functionality without notice. We do not guarantee uninterrupted or error-free operation.

15. Suspension and Termination

We may suspend or terminate your access to the Service if you violate these Terms, you misuse the Service, or your use creates legal, operational, or security risk. You may stop using the Service at any time. Data handling upon termination is governed by our Privacy Policy.

16. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied; we do not warrant accuracy, completeness, or fitness for a particular purpose; and we do not guarantee outcomes from use of the Service.

17. Limitation of Liability

To the maximum extent permitted by law, GovernSimply shall not be liable for indirect, incidental, consequential, or special damages; loss of data, revenue, or business opportunities; or decisions or actions taken based on Service outputs. Our total liability shall not exceed the amount paid by you to GovernSimply in the twelve (12) months preceding the claim.

18. Indemnification

You agree to indemnify and hold harmless GovernSimply, its officers, directors, employees, and partners from any claims, damages, losses, or expenses arising from your use of the Service, your uploaded content, your violation of these Terms, or your misuse of Service outputs.

19. Governing Law; Venue

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be brought in state or federal courts located in Texas, and you consent to personal jurisdiction and venue in those courts.

20. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

21. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. You may not assign these Terms without our prior written consent; we may assign these Terms as part of a merger, acquisition, or asset sale. Headings are for convenience only and do not affect interpretation.
